Foreign Registration
Most nonprofit organizations operate within their state of incorporation. However, some organizations operate across state lines.
For example, a nonprofit in Philadelphia, PA may also provide services across the river in Camden, NJ. In situations like this, the organization must file a Foreign Registration in each additional state of operation.
Foreign Registrations are like the Articles of Incorporation. Instead of forming a new entity, they point back to the original state of incorporation as the organization’s home. When setting up a foreign registration, organizations must also file a Charity Registration and State/Sales Tax Exemptions necessary in the foreign state. They are also responsible for complying with each state’s annual compliance requirements, which we’ll cover later in this guide.
